\u0391.\tINTRODUCTION<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

1.<\/span> <\/span>The soci\u00e9t\u00e9 anonyme under the name \u201c<\/span>ERMIS<\/span> <\/span>SOCI\u00c9T\u00c9 ANONYME FOR <\/span>TRANSPORTATION, EXPLOITATION, TRADE<\/span> <\/span>OF PETROLEUM PRODUCTS AND PROVISION OF SERVICES<\/span>\u201d and the distinctive title \u201c<\/span>ERMIS AEMEE<\/span>\u201d, which is seated in the Municipality of Amaroussion, <\/span>12A Irodou Attikou street, w<\/span>ith VAT number <\/span>094025320 <\/span>of <\/span>KEFODE<\/span> Athens Tax Office and General Commercial Registry (\u201cG.E.M.I.\u201d) No. <\/span>1<\/span>21988401000<\/span>, <\/span>hereinafter referred to as \u201c<\/span>ERMIS<\/span>\u201d, <\/span>member of the Motor Oil Hellas group, offers its customers the \u201cincharge\u201d application, through which the latter can, according to the specific procedure described below, receive e-mobility services, according to the specific provisions set out below. This form sets out the terms and conditions of use of the above application, as well as the guidelines for the activation and receipt of the relevant services.<\/span><\/p>

2.<\/span> <\/span>The following terms and conditions of use set out your rights and obligations when using our e-mobility application. Your use of the application is construed as your express and unconditional acceptance of these terms and conditions. You warrant that you are at least eighteen (18) years of age and have full legal capacity. <\/span><\/p>

3.<\/span> <\/span>The use of our e-mobility application entails the collection and processing of your personal data, as provided below. Therefore, if you do not agree to these terms, you must not use our Application in any way.<\/span><\/p>

4.<\/span> <\/span>These terms may be subject to modification at our free and absolute discretion, without any prior notice to you, as more particularly provided below. <\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

B.\tDEFINITIONS<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

For the purposes hereof, the following definitions shall have the meaning ascribed to them below:<\/span><\/p>

\u201cRegistered User\u201d:<\/i><\/b> refers to you, when you elect to use the Application having previously completed the registration process and having accessed it using your personal credentials for the purposes of your identification. Registered users may be natural persons, traders, as well as legal entities, of any form.<\/span><\/p>

\u201cMinimum Available Account Balance\u201d:\u00a0 <\/i><\/b>refers to the minimum amount that must be available in your account (your e-wallet) at the time you start using the Service in order for you to be able to charge your vehicle, if you choose to use the Services as a user of the Application.\u00a0<\/span><\/p>

\u201cMinimum Balance Replenishment Amount\u201d:\u00a0 <\/i><\/b>refers to the minimum amount you will be required to pay based on the Billing Plan you have selected, each time you choose to replenish your account balance, if you are a Registered User of the Application.<\/span><\/p>

\u201cWe\u201d: <\/i><\/b>\u00a0refers to us, namely the<\/span> soci\u00e9t\u00e9 anonyme under the name \u201cERMIS SOCI\u00c9T\u00c9 ANONYME FOR TRANSPORTATION, EXPLOITATION, TRADE OF PETROLEUM PRODUCTS AND PROVISION OF SERVICES\u201d,\u00a0 the full details of which are set out at the beginning hereof.<\/span><\/p>

\u201cEquipment\u201d: <\/i><\/b>\u00a0refers to the electric vehicle chargers that we have installed at the Recharging Points or Stations.\u00a0<\/span><\/p>

\u201cGuest\u201d: <\/i><\/b>\u00a0refers to you, when you choose to use the Application simply as a guest.<\/span><\/p>

\u201cYou\u201d: <\/i><\/b>\u00a0refers to you, namely the Registered Users and\/or Guests of the Application.<\/span><\/p>

\u201cApplication\u201d:\u00a0 <\/i><\/b>refers to<\/span> our e-mobility Application, as available from time to time, through which each Registered User or Guest may obtain information and access to the Services and e-mobility networks we offer, or contact us to make any request or complaint.\u00a0<\/span><\/p>

\u201cCard\u201d or \u201cCoral Pass\u201d: <\/i><\/b>\u00a0refers to the Coral Pass card of \u201cCORAL OIL AND CHEMICAL PRODUCTS SOCI\u00c9T\u00c9 ANONYME\u201d, with the distinctive title \u201cCORAL S.A.\u201d, seated in Amaroussion, Attica, at 12A Irodou Attikou Street, with VAT number: 094472989 (hereinafter referred to as CORAL).<\/span><\/p>

\u201cRFID Card\u201d<\/i><\/b>: refers to the card with which, upon your request, ERMIS may provide you in order to offer you the possibility to identify yourself as a Registered User and to start or stop charging your vehicle by substituting the use of the Application (e.g. when you do not have access to mobile data). The use of the Card is addressed exclusively to Registered Users and\/or Premium Registered Users or their Linked Members and is carried out in accordance with the terms of Section D.1.I of these Terms.<\/span><\/p>

\u201cReservation\u201d:<\/i><\/b>\u00a0 refers to the service offered through the Application solely and exclusively to Premium Registered Users, which allows them to schedule seamlessly and remotely the charging sessions of vehicles, reserving the charger of their choice for a specific period of time (date, time and duration).\u00a0\u00a0<\/span><\/p>

\u201cSoftware\u201d:\u00a0 <\/i><\/b>refers to all human-readable or computer-readable data or other machine-readable data, technical specifications, logic, algorithms, modules, flow charts, logic diagrams, orthographic representations, subroutines, file structures, coding sheets, coding, source code or object code, lists, test data, test routines, diagnostic programs or other material relating to the Application or including any part thereof, which is required to enable it to function properly, effectively and efficiently.<\/span><\/p>

\u201cTerms\u201d:<\/i><\/b> refer to this manual entitled \u201cTerms, Conditions & Manual of Use of ERMIS\u2019s \u201cincharge\u201d E-mobility Application\u201d.\u00a0<\/span><\/p>

\u201cPre-Purchase Hold Amount\u201d:<\/i><\/b>\u00a0 refers to the amount of 15.00 euros, which is placed on hold on the Guest\u2019s bank card before the start of the Services, against payment of the price of the Services.<\/span><\/p>

“Billing Plan”:\u00a0 <\/i><\/b>refers to the payment plan (terms), among those available on our Application from time to time, with which you wish to pay the price of the Services you will receive, if you choose to receive the Services as a Registered User of the Application.\u00a0<\/span><\/p>

\u201cBilling Document\u201d:\u00a0 <\/i><\/b>refers to the tax document (retail sales receipt for natural persons or Invoice for Services for traders\/legal entities), which is issued and sent to the Registered User after the end of each use of the Application.\u00a0<\/span><\/p>

\u201cUsage Information\u201d:\u00a0 <\/i><\/b>refers to the information about the use of the Application (e.g., charging time, charging point, etc.), which will be accessible to the Registered User. In case of coexistence of Linked Members, the Registered User will have unrestricted access to all the information, while the Linked Member will only have access to the information and data concerning the use of the Application by them alone.\u00a0<\/span><\/p>

\u201cPremium Privileges\u201d:<\/i><\/b>\u00a0 refers to the privileges enjoyed by the Premium Registered Users of our Services, as specified below.<\/span><\/p>

\u201cRecharging Point(s) or Station(s)\u201d: <\/i><\/b>refers to the publicly accessible recharging points or stations that we have deployed around Greece, as shown on the Application Map.\u00a0<\/span><\/p>

\u201cUser Data\u201d:\u00a0 <\/i><\/b>refers to the data that each person wishing to register and use the Application is required to fill in or possibly transmit to ERMIS before using the Application.<\/span><\/p>

\u201cLinked Members\u201d:\u00a0 <\/i><\/b>refer to natural persons who are added as additional users to an already active account of a certain Registered User in the Application. Where reference is made herein, or any obligation or procedure is established, which applies to Registered Users, it shall be deemed to automatically include Linked Members.<\/span><\/p>

\u201cPremium Subscription\u201d:<\/i><\/b>\u00a0 refers to the annual subscription amount that Registered Users are required to pay in order to enjoy Premium Privileges.<\/span><\/p>

\u201cHardware\u201d: <\/i><\/b>refers to the set of mechanical parts and physical components of a computer or computer system. It consists of the hard disk drive, processor, motherboard, graphics card, cables, co-circuits, circuit boards, wafers, monitor, keyboard, mouse, printer, camera, microphone and all the moving parts of which it is composed.\u00a0<\/span><\/p>

\u201cServices\u201d: <\/i><\/b>\u00a0refers to the set of e-mobility services we offer you through the Application, namely the services related to the recharging and pricing of e-mobility services and to your optimal service more generally (indicatively, finding available Recharging Points\/Stations and navigation), excluding Premium Services, which are exclusively offered to Premium Registered Users.\u00a0<\/span><\/p>

\u201cMap\u201d: <\/i><\/b>\u00a0refers to the map used by the Application to depict the Recharging Points of our network.<\/span><\/p>

\u201cOverstaying Fee\u201d:<\/i><\/b>\u00a0 refers to the amount charged after completion of your vehicle\u2019s charge in case you continue to occupy a specific Recharging Point. This charge, which is freely determined by ERMIS and is incurred in the form of time-charging (\u20ac\/minute of occupying the space), is clearly displayed in the information section of each Recharging Station. The relevant charge may differ depending on the Recharging Station.\u00a0<\/span><\/p>

\u201cPost Payment\u201d:<\/i><\/b>\u00a0 refers to the services offered exclusively to entrepreneurs, which offers the possibility to use the Services by paying the value of the Services they received at a later time on an accrual basis, as further specified in section E.III of this form.\u00a0<\/span><\/p>

\u201cPremium Registered User\u201d: <\/i><\/b>\u00a0refers to you, when you elect to use the Application having previously paid the Premium Subscription for the entirety of its term.<\/span><\/p><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

C.\tAPPLICATION REGISTRATION <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

Registration in the Application is optional and is not a condition for receiving the Services, except where otherwise provided below. Exceptionally, your registration in the Application is strictly necessary if:<\/span><\/p>

(i) you are a trader and wish to register in the Application for one or more vehicles of your company fleet in order to obtain an invoice for the price of the Services you receive through the Application, in which case you are required to complete your registration in the Application in advance, in accordance with the provisions of section C.I of this form;\u00a0<\/span><\/p>

(ii) you wish to enjoy Premium Services, so you are required to proceed to the actions set out in section C.II of this form;<\/span><\/p>

(iii) you wish to register as a Linked Member to an already active Registered User account, in which case you are required to complete your registration in the Application in advance, in accordance with the provisions of Section C.II below; or<\/span><\/p>

(iv) you are a customer of \u201cCORAL\u201d and you have requested your registration in the Application through the aforementioned company, in which case the provisions of section C.IV below apply.<\/span><\/p>

\u0399.<\/b> User registration methodology (in general):<\/b><\/p>

Those of you who wish to use the Application as Registered Users must first follow the below procedure:<\/span><\/p>

(a) First, you should download the \u201cincharge\u201d application from Playstore for Android devices or from AppStore for iOS devices and fill in the information that will be requested at each step.<\/span><\/p>

(b) Before you enter your personal data, you will be asked to indicate that you agree to these terms and conditions, as well as our privacy policy and to also indicate whether<\/span> you would like to be receiving offers and marketing communications.<\/span><\/p>

(c) You will then be asked to enter your personal data in the Application in order to be able to identify yourself as a Registered User of the Application. To register, we will ask you to enter your email address and select among utilizing the Application as natural person or trader, legal entity.\u00a0<\/span><\/p>

(d) Afterwards, you will be asked to select the Billing Plan you wish to use from the ones available from time to time and only under the condition that the option to select among different payment plans is offered at that point in time. Before selecting the desired Billing Plan, we invite you to carefully study its terms and conditions, namely the charging cost (\u20ac\/kWh) per charger type (AC\/DC), as well as the Minimum Available Account Balance for charging, which are clearly indicated on each plan. If more than one Billing Plans are available at a certain point in time, you may choose one them. Similarly, you may replace the selected Billing Plan with another Billing Plan at any time. The offering of more than one Billing Plans and\/or the modification and\/or cancellation of any of the ones available is within our sole discretion and is carried out freely without being subject to time limits, and without any obligation to provide you with prior notice.\u00a0<\/span><\/p>

(e) Upon completion of the above steps, you will be required to set the password for accessing the Application, which must consist of at least eight (8) characters and must include at least one (1) uppercase letter (A\u2013Z), one (1) lowercase letter (a\u2013z), one (1) number (0\u20139), and one (1) symbol (e.g., !, @, #, $, %, ^, &, *) and to verify the email address you declared during your registration, through a dedicated activation link, which will be sent to the declared email address. In this way, the account activation process is completed.(f) Thereafter, you will be requested to optionally provide additional personal data within the Application, such as your mobile phone number, full name, gender, and residential address and to provide your credit card details completely and correctly. Upon completion of your registration, you have the option – under the procedure of section D.1.I below – to request an RFID Card.\u00a0\u00a0<\/span><\/p>

At the same time, if you belong to the category of traders and you wish to add third natural persons to your account as Linked Members, you may request this to ERMIS, upon completion of your registration in the Application. The addition of Linked Members is carried out in accordance with the procedure set out in Section C.III below.<\/span><\/p>

II. Registration of Premium Registered Users:<\/b>
Those consumers who wish to register on the Application and enjoy the privileges of Premium Registered Users, must select the relevant Billing Plan at the registration stage. Alternatively, those who may have already completed your registration as ordinary Registered Users and wish to upgrade your profile to Premium Registered Users should, after completing the registration process, in accordance with the specific provisions of section C.I above, send an e-mail to cs@incharge.gr, indicating your wish to do so and your full name. This e-mail must be sent from the e-mail address you provided when you registered for the Application. Alternatively, you may change your Billing Plan through the relevant option available within your account, under the charging plan section of the Application.<\/span><\/p>

III.<\/b> Registration of Linked Members: <\/b>
\u0391. The addition of Linked Members to an already active account of a Registered User in the Application is offered as an option exclusively and only to Registered Users who are traders with fleets of vehicles and requires the performance of the actions of this section. If you belong to the above category and you wish to add third natural persons to your account as Linked Members, you must first send your request to ERMIS in writing via corporate@incharge.gr, submitting at the same time in the same email a solemn declaration of the member (natural person) to be linked, bearing a certified signature via gov.gr or a competent public Authority, on which the following information (of the natural person) must be included: <\/span><\/p>
